Terms of Service

The terms and conditions governing your use of the Syrili platform.

1. Agreement to Terms

These Terms of Service ("Terms") constitute a legally binding agreement between you, whether individually or on behalf of an entity ("you" or "your"), and Syri Li Ltd ("Syrili," "we," "us," or "our"), regarding your access to and use of the Syrili website, platform, and any associated services (collectively, the "Services"). By accessing or using our Services, you acknowledge that you have read, understood, and agree to be bound by these Terms. If you do not agree with these Terms, you must not access or use the Services.

2. Eligibility

You must be at least 18 years of age to use the Services. By using the Services, you represent and warrant that you are at least 18 years old and that you have the right, authority, and capacity to enter into this agreement. If you are using the Services on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

3. Our Services

Syrili provides an AI-powered climate intelligence platform that processes environmental data, satellite imagery, IoT sensor feeds, and atmospheric models to deliver predictive analytics, real-time monitoring, risk assessment, carbon tracking, and reporting tools. The specific features and capabilities of the Services may be described on our website and in your subscription agreement.

We reserve the right to modify, update, or discontinue any part of the Services at our discretion, provided that we will make reasonable efforts to notify you of material changes that affect your use of the Services.

4. Account Registration

To access certain features of the Services, you may be required to create an account. When creating your account, you must provide accurate, current, and complete information. You are responsible for:

  • Maintaining the confidentiality of your account credentials.
  • All activities that occur under your account.
  • Promptly notifying us of any unauthorized use of your account.

We reserve the right to refuse registration, suspend, or terminate accounts that we reasonably believe violate these Terms or applicable laws.

5. Subscriptions and Fees

5.1 Paid Services

Certain features of the Services may be offered on a subscription or usage-based fee basis. By subscribing to a paid plan, you agree to pay all applicable fees as described in the pricing documentation and your subscription agreement.

5.2 Payment Terms

  • Fees are payable in advance and are non-refundable except as expressly provided in these Terms or required by law.
  • Unless otherwise stated, prices exclude applicable taxes, which you are responsible for paying.
  • We may adjust pricing for future subscription periods with reasonable advance notice.
  • Late payments may result in suspension of access to the Services.

5.3 Free Trial

We may offer free trials or demonstration access for a limited period. Free trial access is subject to all relevant Terms and may be subject to additional conditions communicated to you at signup.

6. Acceptable Use

You agree not to use the Services in any manner that:

  • Violates any applicable law, regulation, or governmental order.
  • Infringes the intellectual property rights, privacy, or other rights of any third party.
  • Attempts to gain unauthorized access to the Services, other users' accounts, or connected systems.
  • Disrupts, interferes with, or imposes an unreasonable load on the Services or our infrastructure.
  • Uploads, transmits, or distributes malicious code, including viruses, worms, or Trojan horses.
  • Attempts to reverse engineer, decompile, or disassemble any part of the Services.
  • Uses the Services to generate, process, or disseminate information contrary to public interest, including misuse of climate intelligence for harmful purposes.
  • Resells, redistributes, or sublicenses the Services without our prior written consent.

7. Intellectual Property

7.1 Our Intellectual Property

The Services, including all software, algorithms, models, data structures, documentation, graphics, logos, trademarks, and content, are the exclusive property of Syrili or our licensors and are protected by copyright, trademark, patent, and other intellectual property laws. All rights not expressly granted in these Terms are reserved by Syrili.

7.2 License to Use Services

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for your internal business purposes during the term of your subscription.

7.3 Your Content and Data

You retain ownership of the data, information, and content you upload, submit, or generate using the Services ("Your Data"). By using the Services, you grant Syrili a non-exclusive, royalty-free license to process Your Data solely for the purpose of providing the Services to you. We will not use Your Data for any purpose other than delivering the Services, unless you provide explicit, separate consent.

8. Confidentiality

Each party may receive confidential information of the other party in connection with the Services. "Confidential Information" includes non-public business, technical, financial, and commercial information, as well as any data marked as confidential or reasonably understood to be confidential. Each party agrees to:

  • Use the other party's Confidential Information only for purposes of performing its obligations under these Terms.
  • Protect the other party's Confidential Information using a reasonable degree of care, no less than the care it uses to protect its own confidential information.
  • Disclose Confidential Information only to those employees and contractors with a need to know, who are bound by confidentiality obligations.

These confidentiality obligations survive termination of these Terms for a period of five (5) years (or indefinitely with respect to trade secrets).

9. Data Protection and Privacy

Our collection and use of personal data is governed by our Privacy Policy, which is incorporated into these Terms by reference. You agree to comply with all applicable data protection laws, including the UK GDPR, EU GDPR, and the Data Protection Act 2018, when using the Services and processing personal data through them.

10. Disclaimer of Warranties

THE SERVICES ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SYRILI DISCLAIMS ALL WARRANTIES, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO:

  • IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
  • WARRANTIES OF UNINTERRUPTED, ERROR-FREE, OR SECURE OPERATION OF THE SERVICES.
  • WARRANTIES REGARDING THE ACCURACY, COMPLETENESS, OR RELIABILITY OF ANY ANALYTICS, PREDICTIONS, OR CONTENT GENERATED THROUGH THE SERVICES.

YOU ACKNOWLEDGE THAT CLIMATE PREDICTIONS AND ANALYTICS ARE INHERENTLY UNCERTAIN AND ARE PROVIDED FOR INFORMATIONAL PURPOSES ONLY. SYRILI DOES NOT WARRANT THAT THE SERVICES WILL PRODUCE SPECIFIC OUTCOMES OR THAT ANY CLIMATE PROJECTIONS WILL PROVE ACCURATE. ANY DECISIONS MADE BASED ON THE SERVICES ARE YOUR SOLE RESPONSIBILITY.

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL SYRILI, ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE TO YOU FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, OR LOSS OF GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF (OR INABILITY TO USE) THE SERVICES, REGARDLESS OF WHETHER SUCH DAMAGES WERE FORESEEABLE AND WHETHER ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR THE SERVICES SHALL NOT EXCEED THE GREATER OF (A) THE AMOUNTS YOU HAVE PAID US FOR THE SERVICES IN THE TWELVE (12) MONTHS PRECEDING THE EVENT GIVING RISE TO THE LIABILITY, OR (B) ONE HUNDRED POUNDS (£100).

12. Indemnification

You agree to indemnify, defend, and hold harmless Syrili and its officers, directors, employees, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from or related to:

  • Your use of and access to the Services.
  • Your violation of these Terms.
  • Your violation of any law or the rights of any third party.
  • Any disputes arising from decisions you make based on the Services.
  • Your Data, including any unauthorized disclosure or processing conducted by you.

13. Termination

13.1 Termination by You

You may terminate your subscription at any time by providing written notice to us. Termination will be effective at the end of your then-current billing period. Fees already paid are non-refundable, except as required by law.

13.2 Termination by Us

We may suspend or terminate your access to the Services at any time, with or without cause, and with or without notice, effective immediately if you breach these Terms. We may also terminate your access if we discontinue the Services or are required to do so by law.

13.3 Effect of Termination

Upon termination, your right to access and use the Services will immediately cease. You will have a reasonable period (usually 30 days) to export Your Data, after which it may be deleted in accordance with our data retention policies.

14. Third-Party Services and Links

The Services may contain links to third-party websites, applications, or services. We do not control and are not responsible for the content or practices of any third-party services. Your use of any third-party service is subject to that party's own terms and conditions.

15. Beta Features

We may occasionally offer experimental, new, or beta features or products ("Beta Features") as part of the Services. Beta Features are provided "as is" without any warranty, may change or be discontinued at any time, and may not be as reliable or fully functional as the generally available Services. Your feedback on Beta Features helps us improve.

16. Changes to These Terms

We reserve the right to modify these Terms at any time. We will notify you of any material changes by posting the updated Terms on this page and updating the "Last Updated" date. Your continued use of the Services after any such changes constitutes your acceptance of the revised Terms. If you do not agree to the revised Terms, you must stop using the Services.

17. Governing Law and Dispute Resolution

These Terms shall be governed by and construed in accordance with the laws of England and Wales, without regard to its conflict of laws provisions. Any disputes arising out of or relating to these Terms or the Services shall be resolved through:

  • Negotiation: The parties agree to attempt to resolve any dispute through good-faith negotiation for at least 30 days before initiating formal proceedings.
  • Jurisdiction: Any legal action shall be brought exclusively in the courts of England and Wales, and each party irrevocably submits to the jurisdiction of such courts.

18. Severability

If any provision of these Terms is found to be unlawful, void, or unenforceable, that provision shall be deemed severable and shall not affect the validity and enforceability of the remaining provisions.

19. Entire Agreement

These Terms, together with our Privacy Policy and any subscription agreement executed between the parties, constitute the entire agreement between you and Syrili regarding the Services and supersede all prior agreements, understandings, and communications, whether written or oral.
